Terms of Service & Acceptable Use Policy

By accessing or using Lyra-Sha AI / NovaVerse Platform ("the Service"), you agree to be bound by these Terms of Service and Acceptable Use Policy ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, subscribers, and visitors of https://www.lyrashaai.com.

Lyra-Sha AI / NovaVerse Platform provides AI-powered virtual assistant services, digital content tools, brand-building resources, digital products, and human-delivered business consulting services to entrepreneurs, small business owners, and content creators.

Services are offered on several bases, and the terms that apply depend on what you purchase: recurring subscriptions; one-time digital products and sessions; and human-delivered consulting engagements such as the Business Reset service described in Section 6a. Not every provision of these Terms applies to every offering.

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable local, state, national, and international laws and regulations. The following conduct is strictly prohibited:

• Adult Content and Services: You may not use the Service to create, upload, distribute, sell, promote, or monetize content that contains nudity, explicit sexual acts, adult audio or video chat, subscriber-only explicit imagery, or any other sexually explicit material. This prohibition applies regardless of whether the content is behind a paywall or otherwise restricted. The Service is strictly for professional, educational, and business-oriented use.
• Violent Extremism: You may not use the Service to create, publish, distribute, promote, or celebrate content that engages in, encourages, glorifies, or incites unlawful violence or hatred toward any individual or group based on race, religion, disability, gender, sexual orientation, national origin, immigration status, or any other immutable characteristic. Content that promotes, funds, or facilitates terrorist organizations or extremist ideologies is expressly prohibited.
• Intellectual Property Infringement: You may not use the Service to create, distribute, sell, or monetize content that infringes upon the intellectual property rights of any third party, including but not limited to copyrights, trademarks, patents, trade secrets, or other proprietary rights. This includes reproducing, copying, or distributing copyrighted material without proper authorization or a valid license.
• Copyright-Infringing Content: You may not use the Service to generate, publish, or distribute content that violates copyright law. Uploading, sharing, or monetizing copyrighted works — including text, images, music, audio recordings, video, software, or other creative works — without the rights owner's explicit permission is strictly forbidden. This includes but is not limited to leaked music albums, films, books, or other protected media.
• Proprietary Rights Violations: You may not use the Service to misappropriate trade secrets, violate confidentiality agreements, or infringe upon any proprietary rights belonging to third parties or to Lyra-Sha AI / NovaVerse Platform.
• Engaging in fraud, deception, phishing, or impersonation
• Transmitting spam, malware, or harmful code
• Harassing, threatening, or abusing other users
• Collecting user data without consent
• Attempting to gain unauthorized access to any part of the Service
• Reselling or sublicensing access without written permission

Violation of this Acceptable Use Policy may result in immediate termination of your account, without refund, and may be reported to appropriate law enforcement authorities.

Lyra-Sha AI / NovaVerse Platform maintains active and passive content moderation capabilities to enforce this Acceptable Use Policy:

• Active Detection: All user inputs submitted to the AI assistant are processed through automated content filtering. Requests that match prohibited categories — including adult/explicit content, violent extremism, and hate speech — are automatically blocked and do not result in AI-generated output. This filtering occurs at the application layer before any content is generated or stored.
• User Agreement Enforcement: All users are required to affirmatively agree to this Acceptable Use Policy before accessing the Service. This agreement is logged at account creation.
• Abuse Reporting: Users may report policy violations at any time to hello@lyrashaai.com. Reports are reviewed within 2 business days.
• Account Review: We reserve the right to review, restrict, or terminate any account found to be in violation of these policies, including through automated flags and manual review.

These measures apply to all service tiers. The Service does not provide any mechanism for users to bypass content filtering or host prohibited content.

All content, branding, software, tools, templates, and materials provided by Lyra-Sha AI / NovaVerse Platform — including the Lyra-Sha AI persona, NovaVerse Platform branding, and all associated creative assets — are the exclusive intellectual property of Ingrid Castillo / NovaVerse Platform. You may not copy, reproduce, distribute, or create derivative works from our proprietary content without explicit written consent.

You retain ownership of content you create using the Service. By using the Service, you represent and warrant that:

• You own or have the necessary rights and licenses to any content you submit or create
• Your content does not infringe upon any third party's intellectual property, copyright, trademark, or proprietary rights
• Your content complies with all applicable laws

We reserve the right to remove any content that violates these Terms.

Subscription fees are billed on a recurring monthly basis. All payments are final unless otherwise required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We reserve the right to modify pricing with 30 days' notice.

One-Time Digital Service Sessions (Talk to Janice, Ray, Olivia): These are one-time digital service sessions delivered immediately upon payment. Because the service is provided instantly and conversations are ephemeral by design (no data is retained on our end), all sales are final and no refunds will be issued under any circumstances. By proceeding to payment you acknowledge and agree that this session is non-refundable. If you experience a technical issue that prevented you from receiving the service (e.g., payment processed but chat never loaded), please contact us at hello@lyrashaai.com within 24 hours and we will review your case on a case-by-case basis.

Nature and scope. Business Reset is a human-delivered small-business operational consulting engagement. It is performed by a person, not by an automated or AI-only product, and it is separate from the subscription products and one-time digital sessions described in Section 6. Where this Section 6a conflicts with Section 6, this Section 6a governs the consulting engagement.

Framework. The engagement follows a four-part framework: Assess → Simplify → Rebuild → Move Forward.

Application and acceptance. Business Reset is offered by application. Submitting an application does not create an engagement and does not obligate either party. We aim to respond to applications within one (1) business day. We may decline any application for any lawful reason. Payment is requested only after we have accepted your application. No engagement exists until an application has been accepted and the fee has been paid.

Founding Client fee. The current Founding Client engagement fee is $495 USD, charged once. This is a limited pilot offering, currently capped at five (5) Founding Client engagements. The fee covers the diagnostic engagement described below. Pricing for future engagements may differ.

When the engagement begins. The engagement begins when your application has been accepted, the fee has been paid, and you have submitted the requested intake information. The engagement sequence is: application → acceptance → payment → detailed intake → diagnostic review → findings and prioritized action plan.

Your cooperation is required. A diagnostic engagement depends entirely on the accuracy and completeness of what you provide. You agree to supply requested information, documentation, and any necessary access promptly and accurately. You are responsible for ensuring you have the right to share anything you provide.

Turnaround target. Our current target is to deliver findings within five (5) business days of the engagement beginning. This is a target, not a guarantee. It depends on timely and complete cooperation from you, and may be affected by delays in receiving requested information or access, incomplete or inaccurate intake responses, the scope and complexity of your business, or changes you request mid-engagement.

What is included. The engagement is diagnostic and advisory. Deliverables are a review of the areas covered by your intake, written findings, and a prioritized action plan.

What is not included. Implementation, execution, ongoing operational work, continuing advisory support, software development, marketing delivery, bookkeeping, and any recurring service are not included and are outside the scope of the $495 engagement unless separately agreed in writing. Business Reset does not include legal, tax, accounting, financial, investment, medical, or licensed professional advice of any kind, and nothing delivered should be relied upon as such. You should consult appropriately licensed professionals before acting on matters within their fields.

Your decisions remain yours. Findings and recommendations are advisory. You remain solely responsible for evaluating them and for every decision you make about your business, including whether to act on any recommendation and how. You retain full control of and responsibility for your business.

No guaranteed outcome. Business Reset does not guarantee any particular revenue, profit, customer, staffing, operational, or other business outcome. We are responsible for performing the agreed analysis and delivering the contracted consulting work. Implementation decisions, and the results that follow from them, remain your responsibility. No statement made before, during, or after the engagement should be understood as a promise of any specific outcome. Results depend on factors outside our control, including your market, your execution, and your circumstances.

Confidentiality. Business information you provide for the purpose of the engagement will be treated as confidential and used only to perform the engagement. We will not sell it or disclose it to third parties except: to service providers who assist in delivering the engagement and are bound to protect it; where you direct or permit disclosure; or where disclosure is required by law. We apply reasonable measures to protect the information you supply. Please do not send passwords, financial account credentials, government identification numbers, or other highly sensitive material unless we have specifically requested it and agreed a secure method for sending it. Handling of personal information is also governed by our Privacy Policy.

Your deliverables, and our intellectual property. The findings, recommendations, roadmap, and other client-specific deliverables prepared for you are yours to use for your own internal business purposes. That expressly includes acting on them yourself and engaging any third party you choose to help you implement them — nothing here restricts who you may hire.

That right to use your deliverables does not transfer ownership of our underlying or pre-existing intellectual property. Lyra-Sha retains all rights in its frameworks, methodologies, diagnostic systems, templates, processes, automation architecture, software, prompts, internal infrastructure, branding, know-how, and independently developed intellectual property — including the Assess → Simplify → Rebuild → Move Forward framework and the Business Reset methodology. Where any of that material is incorporated into a deliverable prepared for you, its incorporation does not transfer ownership of the underlying intellectual property.

Accordingly, you and any third party acting for you may not sell, sublicense, publish, white-label, or commercially reproduce our proprietary systems, frameworks, or methodology as a competing offering, or represent them as your own, without our written authorization. In addition, work that has been modified, independently implemented, produced by a third party, or otherwise derived from your deliverables may not be represented as having been performed, approved, certified, endorsed, or guaranteed by Lyra-Sha unless we have expressly authorized that representation. This protects our methodology and our name; it does not limit your use of the recommendations you purchased.

Section 4 (Intellectual Property — Our Content) continues to govern our proprietary materials generally. This Section 6a grants a specific, limited right to use your own client-specific deliverables, and does not otherwise modify Section 4.

Cancellation and refunds. Business Reset is customized consulting work, with findings and materials prepared specifically for your business and delivered digitally. It is a consulting engagement, not an off-the-shelf digital product.

Once substantive work on your engagement has begun, the consulting fee is non-refundable. That includes circumstances where you later choose not to implement the recommendations, disagree with the recommendations, change your mind about the engagement, or do not achieve a result you hoped for. The fee pays for the analysis and the work performed, not for a particular outcome.

If we are unable to provide the service you purchased — for example, if we cannot complete the engagement, or if we decline to proceed after you have paid — we will refund your fee in full. To raise a cancellation or refund question, contact us at help@lyrashaai.com.

Relationship to the rest of these Terms. All other provisions of these Terms — including the Acceptable Use Policy, Disclaimer of Warranties, Limitation of Liability, Governing Law, and Changes to These Terms — apply to Business Reset engagements. Where a general provision conflicts with this Section 6a in relation to a consulting engagement, this Section 6a controls. Nothing in this Section creates an employment, partnership, joint venture, agency, or fiduciary relationship between us.

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms — including but not limited to violation of this Acceptable Use Policy. You may terminate your account at any time by contacting us at hello@lyrashaai.com.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Your use of the Service is at your sole risk.

To the maximum extent permitted by law, Lyra-Sha AI / NovaVerse Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of — or inability to use — the Service, even if we have been advised of the possibility of such damages.

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Colorado.

We reserve the right to update these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
